These Terms of Use (the "Terms") govern your access to and use of voyageadvisory.com and any related pages, content, and features we make available through it (the "Site"). The Site is operated by Voyage Advisory LLC, a Delaware limited liability company ("Voyage," "we," "us," or "our"). Please read these Terms carefully before using the Site.
PLEASE NOTE: Section 9 disclaims warranties, Section 10 limits our liability, Section 11 requires you to indemnify us, Section 12 shortens the time you have to bring a claim, and Section 13 waives your right to participate in a class action and to a jury trial. Please read those sections carefully.
By accessing the Site, submitting information through the Site, or clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, please do not use the Site. If you use the Site on behalf of a company or other organization, you confirm that you have the authority to bind that organization, and "you" means both you and that organization.
The Site is intended for users in the United States and Canada. We make no representation that the Site or its content is appropriate or available in other locations, and you are responsible for complying with the laws that apply where you access it.
The Site describes our firm and publishes articles, insights, frameworks, and other general information about management consulting topics. That content is general in nature, is not tailored to your circumstances, and is not consulting, legal, accounting, tax, financial, or other professional advice. You should not act on anything published on the Site without seeking advice appropriate to your situation.
Your use of the Site, and any communication you send us through it, does not create a consulting, advisory, or client relationship with Voyage. We provide services only under a written agreement signed by both parties, and no relationship arises until that agreement is in place.
You may use the Site for lawful business and informational purposes. You agree not to use the Site in a way that violates any law or regulation, infringes anyone's rights, or interferes with the operation or security of the Site or the networks it depends on. You agree not to attempt to gain unauthorized access to any part of the Site or to any account, system, or data connected to it, and not to introduce any virus, malware, or other harmful code.
You also agree not to use any robot, spider, scraper, or other automated means to access, monitor, or copy the Site or its content, not to collect or harvest information about other users, not to frame or mirror any part of the Site, and not to use the Site or its content to develop, train, or improve any artificial intelligence or machine learning model. You may not use the Site or any content on it to recruit or solicit our personnel.
Voyage owns or licenses all content on the Site, including text, articles, images, graphics, video, data, page design, and the concepts, know-how, tools, frameworks, models, and industry perspectives reflected in that content. The Voyage name, logo, and other marks displayed on the Site are our trademarks. Nothing in these Terms transfers ownership of any of that to you or grants you any license to our trademarks.
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the Site and to view, download, and print a reasonable number of copies of its content solely for your own internal business or personal reference. You must keep all copyright and other proprietary notices intact. Any other use, including reproduction, distribution, publication, modification, or creation of derivative works, requires our prior written consent. If you quote or reference our content in a permitted way, please attribute it to Voyage Advisory LLC.
Information you send us through the Site, including through our contact form or by email, is not confidential, and sending it does not obligate us to keep it in confidence or restrict our use of it. Please do not send us confidential, proprietary, or sensitive information through the Site. If you want to share that kind of information with us, contact us first so that we can put an appropriate agreement in place.
If you send us comments, suggestions, or ideas about our firm, our services, or the Site, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use them for any purpose without any obligation to compensate or credit you. We may already be working on similar ideas, and nothing in these Terms limits our ability to continue doing so.
You are responsible for the accuracy of the information you submit, and you confirm that you have the right to submit it. If you submit information about another person, Section 2 of our Privacy Policy applies.
Our Privacy Policy explains what personal information we collect through the Site, how we use it, and the choices you have. By using the Site, you acknowledge that we will handle personal information as described in that notice.
The Site may link to, or embed content or tools from, websites and services we do not operate. We provide those links and tools for convenience only. We do not control, endorse, or monitor them, we are not responsible for their content, practices, or availability, and we accept no liability arising from your use of them. Your dealings with any third party you find through the Site are solely between you and that third party.
We may change, suspend, or discontinue any part of the Site at any time and without notice, and we may restrict or terminate your access to the Site at any time if we believe you have violated these Terms or if we otherwise consider it appropriate. We do not promise that the Site will be available without interruption or that any content on it is current. We may update or remove content at any time.
THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. VOYAGE DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. VOYAGE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISION YOU MAKE OR ACTION YOU TAKE BASED ON THE SITE OR ITS CONTENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
VOYAGE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SITE, ITS CONTENT, OR THESE TERMS, WHETHER BASED ON BREACH OF CONTRACT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY, IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID VOYAGE FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). NEITHER PARTY WILL BE LIABLE FOR LOST PROFITS, LOST DATA, LOSS OF USE, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES ARISING FROM OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VOYAGE IS NOT RESPONSIBLE FOR ANY THIRD-PARTY HARDWARE, SOFTWARE, DATA, MATERIALS, WEBSITES, OR SERVICES ACCESSED THROUGH OR IN CONNECTION WITH THE SITE, AND VOYAGE DISCLAIMS ANY OBLIGATION TO THIRD PARTIES IN CONNECTION WITH THE SITE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU. THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SURVIVE ANY TERMINATION OF THESE TERMS.
You will defend, indemnify, and hold harmless Voyage and its members, managers, officers, employees, and contractors from and against any claims, liabilities, losses, damages, costs, or expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your breach of these Terms, your violation of any law or the rights of any third party, or any information you submit through the Site. We will notify you of any claim covered by this section and may participate in its defense at our own expense. You may not settle any claim in a way that imposes any obligation or admission on Voyage without our prior written consent.
Any claim arising out of or relating to the Site or these Terms must be brought within one (1) year after the claim arises. A claim not brought within that period is permanently barred, except where applicable law does not permit parties to shorten the limitations period.
To the fullest extent permitted by law, you and Voyage each agree that any claim arising out of or relating to the Site or these Terms will be brought only in an individual capacity, and not as a plaintiff, class member, or representative in any purported class, collective, consolidated, private attorney general, or other representative proceeding. The court may not consolidate the claims of more than one person or preside over any form of class or representative proceeding. You and Voyage each knowingly and voluntarily waive any right to a trial by jury in any claim arising out of or relating to the Site or these Terms.
If a court determines that this section is unenforceable as to a particular claim or in a particular jurisdiction, that determination applies only to that claim or that jurisdiction. It does not affect the enforceability of this section as to any other claim or jurisdiction, and it does not affect the enforceability of the remainder of these Terms, including Section 14. This section does not apply to any claim that applicable law does not permit to be waived.
These Terms will be governed by, and construed and enforced in accordance with, the laws of the State of Delaware, without regard to its conflicts of law principles. Each party agrees that any claim arising under or relating to these Terms or the Site will be brought exclusively in state or federal court in New Castle County, Delaware, and each party hereby (a) irrevocably consents, and expressly waives any objection, to jurisdiction and venue in such courts, and (b) expressly waives any right to assert this forum is inconvenient. Nothing in this section limits any right you have under the consumer protection or privacy law of the state, province, or country where you live.
You may not assign or otherwise transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, to an affiliate or to a successor in connection with a merger, acquisition, financing, reorganization, or sale of all or part of our business. These Terms are binding on and inure to the benefit of the parties and their permitted successors and assigns.
If any provision of these Terms is held to be invalid, illegal, or unenforceable in any respect, that provision will be deemed severable and will not affect the validity, legality, or enforceability of the remainder of these Terms. The headings in these Terms are for reference purposes only and are not intended to define, limit, or interpret the scope or intent of any provision. Our failure to enforce any provision is not a waiver of our right to enforce it later.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Voyage regarding the Site and supersede all prior agreements and understandings on that subject, whether written or oral. Any representations, warranties, promises, or conditions not expressly stated or specifically incorporated in these Terms are not binding. You acknowledge that in using the Site you have not relied on any statement, promise, or disclosure not expressly set forth or incorporated in these Terms. If you have a separate signed agreement with Voyage for services, that agreement governs those services and controls over these Terms to the extent of any conflict.
We may update these Terms as our business or the law changes. We will post the updated version on this page and revise the date at the top. The version posted on this page is the version that applies to your use of the Site, and your continued use after we post an update means you accept the updated Terms.
